II.Time,Place&FormofHoldingtheMeeting TheBoardmeetingwasheldinformofpapermeetingfromOctober16,2025toOctober22,2025.Theprocedureofconveningandholdingthemeetingcompliedwiththestipulationoftherelevantlaws,administrativeregulations,departmentalrules,normativedocumentsandtheArticlesofAssociationofJMC. III.StatusoftheDirectorsAttendingtheMeeting NineDirectorsshallattendthisBoardmeetingandnineDirectorswerepresent.IV.Resolutions TheDirectorspresentatthemeetingapprovedthefollowingresolutionsinformofpapermeeting: 1.Forthereasonofworkrotation,theBoardofDirectorsoftheCompanydecidedthatMr.JoeyZhuwouldnolongerserveastheChiefFinancialOfficer,aMemberoftheExecutiveCommittee,theSecretaryoftheAuditCommitteeundertheBoardofDirectorsoftheCompany,aDirectorofJianglingFordAutomobileTechnology(Shanghai)Co.,Ltd.,andaDirectorofHanonSystems(Nanchang)Co.,Ltd. PertheCompanyPresidentXiongChunying’snomination,theBoardofDirectorsoftheCompanyapprovedtoappointMs.LiWeihuaastheChiefFinancialOfficer,aMemberofthe Executive Committee, the Secretary of theAudit Committee under the Board ofDirectorsoftheCompany,aDirectorofJianglingFordAutomobileTechnology(Shanghai)Co.,Ltd.,andaDirectorofHanonSystems(Nanchang)Co.,Ltd. TheaforesaidpersonnelchangesshallbecomeeffectivefromNovember1,2025.TheBoardofDirectorsoftheCompanyagreedtoauthorizeMs.LiWeihuawithfullpowertohandlebankingeventsbetweenJMCandotherfinancialinstitutionsduringtheperiodwhensheservesasCFOofJMC. DirectorsoftheCompanypriortosubmissionforconsiderationbytheBoardofDirectors.2.Forthereasonofworkrotation,theBoardofDirectorsoftheCompanydecidedthatMr.AndersonLiuwouldnolongerserveasaVicePresidentoftheCompany.ThepersonnelchangeshallbecomeeffectivefromNovember1,2025. Therewere9votesinfavoroftheproposal,0voteagainst,and0abstention.Mr.JoeyZhuandMr.AndersonLiuwillnottakeanypostintheCompanyaftertheaforesaidpersonnelchanges.Asofthedisclosuredateoftheannouncement,Mr.JoeyZhuandMr.AndersonLiudidnotholdanyJMCshare.
